White Label Reseller Terms
Version: 1.0
Effective Date: 19 October 2026
These White Label Reseller Terms (“Terms”) govern participation in the FlyWP White Label Reseller Program between FlyWP Inc. (“FlyWP,” “we,” “us,” or “our”) and the individual or legal entity participating in the Program (“Reseller,” “you,” or “your”).
By accepting these Terms, activating a White Label account, or using the Program, you agree to these Terms. If you accept on behalf of a business, you confirm that you have authority to bind that business.
1. The Program and Key Definitions
The FlyWP White Label Reseller Program (“Program”) allows approved Resellers to use FlyWP software, platform functionality, APIs, tools, and applicable hosting or infrastructure services to create and sell their own branded hosting, website, application, or related services to their customers.
For these Terms:
- “FlyWP Services” means the platform, software, tools, APIs, integrations, dashboards, supported infrastructure and managed hosting services, and support that FlyWP makes available to you.
- “Reseller Services” means the services you offer to your customers using or incorporating the FlyWP Services.
- “End Customer” means an individual or organization that purchases, receives, or uses a Reseller Service.
- “Package” means a customer-facing plan or service offering you configure, including its features, resources, limits, pricing, and billing terms.
- “Managed Server” means a server provisioned, configured, or managed through an applicable FlyWP managed hosting offering.
- “BYOS” means Bring Your Own Server, where you connect or use your own server or infrastructure through FlyWP.
- “AUP” means the applicable acceptable-use requirements set out in the FlyWPTerms of Service and any additional acceptable-use policy expressly made applicable to you.
- “DPA” means a Data Processing Agreement entered into between FlyWP and the Reseller, where applicable to the processing of personal data. Information about FlyWP’s data-protection practices is available atflywp.com/gdpr. A DPA may be requested from FlyWP where required.
- “SLA” means a service-level agreement expressly agreed in writing by FlyWP and the Reseller for a specific FlyWP Service. Unless such an agreement applies, these Terms do not provide a separate SLA.
Participation in the Program is subject to FlyWP’s approval and your continued compliance with these Terms.
2. How White Label Works and the Reseller Relationship
You may use available FlyWP White Label functionality to create, brand, price, market, and provide Reseller Services to your End Customers.
You operate an independent business and are responsible for your customer-facing offerings, Packages, prices, promotions, billing, refunds, customer support, and customer relationships.
Your agreement with FlyWP is separate from your agreement with each End Customer. Unless FlyWP expressly agrees otherwise in writing or applicable law requires otherwise, End Customers do not become parties to your agreement with FlyWP merely by using a Reseller Service.
You must not represent that you are FlyWP, that you have authority to bind FlyWP, or that FlyWP has made a commitment that it has not expressly authorized.
Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between you and FlyWP. You have no authority to enter into contracts or make warranties on FlyWP’s behalf.
3. Reseller Rights and Responsibilities
Subject to these Terms, the AUP, applicable service terms, and technical limits, you may use available White Label functionality to apply your branding, configure supported Packages, set customer prices, onboard and manage End Customers, and provide Reseller Services.
You are responsible for:
- Maintaining accurate account and business information.
- Describing your Reseller Services and Packages accurately.
- Setting appropriate prices, billing terms, refund policies, and cancellation conditions.
- Providing first-line support to End Customers and escalating FlyWP-related issues through the designated support channel.
- Maintaining appropriate customer-facing terms, including terms of service, privacy information, acceptable-use rules, refund and cancellation terms, service descriptions, and suspension and termination terms, where applicable.
- Ensuring your customer terms contain the restrictions and rights reasonably necessary for you to comply with these Terms and the AUP.
- Complying with laws applicable to your business and Reseller Services, including applicable privacy, consumer protection, tax, advertising, intellectual property, sanctions, and electronic communications laws.
- Protecting your account credentials and managing access for your team members.
- Communicating material service changes and relevant limitations to your End Customers.
You must not make unauthorized claims or commitments about FlyWP, its security, compliance, availability, support, or service levels. Any additional promise you make to an End Customer is your responsibility unless FlyWP expressly accepts it in writing.
4. Plans, Fees, Billing, and Payments
4.1 White Label platform plans
The current White Label platform pricing is:
| Plan | Active End Customer limit | Monthly platform fee |
|---|---|---|
| Free Launch | 1–3 | $0 |
| Starter | 4–25 | $29 |
| Growth | 26–75 | $49 |
| Business | 76–200 | $79 |
| Scale | 201–500 | $149 |
| Enterprise | 501+ | Custom pricing |
All plans include the same core White Label functionality, subject to product availability and technical limits. The primary difference between plans is the number of active End Customers permitted.
The Free Launch plan has no monthly White Label platform fee. However, applicable infrastructure charges, BYOS server management fees, third-party fees, and other charges may still apply.
Enterprise pricing and any other custom commercial arrangements will be specified in the applicable written agreement or Order Form.
FlyWP may update pricing or packaging prospectively by providing notice where required by law or the applicable billing terms. Any account-specific written commercial agreement may specify different terms.
4.2 Active End Customers and plan limits
An active End Customer is a unique customer account with at least one active paid hosting subscription through your Reseller Services.
For plan-limit purposes:
- Multiple websites or Packages under the same End Customer account count as one End Customer.
- Trial accounts do not count until a paid hosting subscription begins.
- An unpaid, failed-payment, or suspended subscription may continue to count while it remains active under the applicable billing status or payment grace period.
- An End Customer stops counting when all paid hosting subscriptions have ended and no other active paid hosting subscription remains.
- The subscription status and counting behavior shown in the product or disclosed in the applicable billing terms will apply.
You are responsible for monitoring your usage and selecting an appropriate plan. When you reach your plan limit, FlyWP may restrict the creation of additional End Customer accounts until you upgrade or your active customer count falls below the limit.
Reaching a plan limit alone will not automatically suspend existing End Customers or their services. FlyWP will not automatically move you to a paid plan without your consent, except where a separate written commercial agreement expressly provides otherwise.
4.3 Separate platform and infrastructure costs
The White Label platform fee is separate from hosting infrastructure, Managed Server, BYOS server management, cloud-provider, payment-provider, and other applicable third-party charges.
Depending on your setup, your costs may include:
- White Label platform fees payable to FlyWP.
- Managed hosting infrastructure charges, where applicable.
- BYOS server management fees payable to FlyWP, where applicable.
- Cloud infrastructure costs paid directly to your provider when using BYOS.
- Payment processing fees, taxes, refunds, chargebacks, and other operating expenses.
Using your own server does not necessarily eliminate fees payable to FlyWP for managing that server through FlyWP.
Your total cost depends on your plan, server configuration, applicable management fees, infrastructure provider, service usage, and other applicable charges.
4.4 End Customer billing and Stripe Connect
You determine the prices charged to your End Customers and are responsible for invoices, payment collection, refunds, credits, failed payments, chargebacks, cancellations, and taxes applicable to your sales.
Where Stripe Connect or another payment provider is used, you must maintain the required payment account and comply with the provider’s applicable terms.
You are responsible for applicable payment-provider fees, currency conversion costs, payment disputes, refunds, chargebacks, payout delays, reserves, holds, account restrictions, and changes to payment-provider pricing or functionality.
Customer payments processed through a connected payment account are subject to the payment provider’s configuration and terms. Unless a separate written agreement expressly provides otherwise, amounts you owe FlyWP must be paid separately when due. Customer non-payment, cancellation, refund requests, or chargebacks do not automatically cancel or reduce your payment obligations to FlyWP.
Any revenue, margin, or profitability estimate displayed by FlyWP is informational only and may exclude infrastructure costs, payment-provider fees, taxes, refunds, chargebacks, discounts, customer support costs, and other expenses. FlyWP does not guarantee any particular revenue, margin, or profitability.
4.5 Overdue amounts
If an amount you owe FlyWP is overdue, FlyWP may, subject to applicable law and the applicable billing terms:
- Charge an authorized payment method on file.
- Restrict account functionality.
- Suspend affected services or new provisioning.
- Apply disclosed late fees or interest where permitted.
- Recover reasonable collection costs where permitted.
- Pursue other available contractual or legal remedies.
FlyWP will apply any suspension or restriction in accordance with these Terms and applicable law.
5. End Customer Support and Service Responsibilities
You are the primary support contact for your End Customers.
You are responsible for assessing reported issues and determining whether they relate to a customer’s website or application, WordPress, third-party software, your Package or configuration, billing, the FlyWP platform, or underlying infrastructure.
You may escalate issues reasonably believed to involve FlyWP-controlled services through the designated FlyWP support channel.
FlyWP is responsible for operating and supporting the FlyWP-controlled components of the FlyWP Services in accordance with these Terms, applicable service terms, documentation, and any applicable SLA. Depending on the service, these components may include the FlyWP dashboard, provisioning, management tools, APIs, and included monitoring, backup, or security functionality.
FlyWP does not automatically provide direct customer support, customer-facing warranties, refunds, or service guarantees to your End Customers. If an End Customer contacts FlyWP directly, FlyWP may refer them to you unless FlyWP is legally required to respond, the matter concerns FlyWP’s own obligations, or direct action is reasonably necessary to protect the platform, customers, or third parties.
6. Acceptable Use, Content, and Abuse
You must comply with the AUP and take reasonable steps to ensure that your End Customers are bound by and comply with equivalent restrictions.
You must not use, or knowingly permit others to use, the FlyWP Services for unlawful activity, fraud, phishing, spam, malware, unauthorized access, intellectual property infringement, security abuse, or other activities prohibited by the AUP, applicable law, or relevant infrastructure-provider requirements.
You are responsible for End Customer content and activity in connection with the Reseller Services to the extent of your responsibility and control under applicable law.
You must reasonably cooperate with FlyWP in investigating and addressing abuse reports, security incidents, suspected unlawful activity, and AUP violations.
FlyWP may take action against affected accounts, sites, servers, or services as described in Section 10.
7. Security, Privacy, and Data Protection
You are responsible for reasonable security practices for your account, passwords, API credentials, access tokens, connected applications, team-member permissions, and customer access.
You must promptly notify FlyWP if you reasonably suspect account takeover, credential compromise, unauthorized access, or another security issue affecting the FlyWP Services. FlyWP may revoke or rotate compromised credentials where reasonably necessary to protect the Services, your account, or other users.
Each party must comply with data protection laws applicable to its activities. Where FlyWP processes personal data on your behalf, the applicable DPA governs that processing. The parties’ roles may differ depending on the processing activity and applicable law.
For information about FlyWP’s data-protection practices, see the FlyWP GDPR page. If you require a DPA, you may contact FlyWP to request the applicable agreement. The GDPR page is informational and does not replace a DPA or other contractual commitments.
If FlyWP becomes aware of a security incident affecting personal data processed on your behalf that requires notification under the DPA or applicable law, FlyWP will notify you in accordance with those requirements.
Each party will reasonably cooperate as required by applicable law and the DPA. You remain responsible for customer communications and obligations arising from your customer relationships, subject to applicable law and the DPA.
8. Branding, Intellectual Property, and Confidentiality
8.1 Branding and intellectual property
You retain your rights in your business name, trademarks, logos, domains, branding, Package names, and marketing materials.
FlyWP and its licensors retain all rights in the FlyWP Services, software, source code, APIs, dashboards, documentation, designs, trademarks, and related intellectual property.
During your participation in the Program, FlyWP grants you a limited, non-exclusive, non-transferable, revocable license to use available White Label functionality to present authorized FlyWP-powered services under your branding.
You must not claim ownership of FlyWP technology, reverse engineer the platform except where applicable law permits, misuse FlyWP trademarks, remove legally required notices where prohibited, or use FlyWP intellectual property outside the authorized Program scope.
8.2 Confidentiality
Each party must protect the other party’s non-public information that is reasonably understood to be confidential and use it only for the parties’ business relationship.
Confidential information may be disclosed only to people who need to know it and are subject to confidentiality obligations, or where disclosure is legally required.
These restrictions do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received without confidentiality restrictions.
A party may disclose confidential information when legally required and, where legally permitted, will give reasonable notice and cooperate with protective measures.
8.3 Feedback
You may provide product suggestions or feedback. Unless otherwise agreed in writing, FlyWP may use that feedback without restriction or compensation, provided it does not disclose your confidential information in doing so.
9. Availability, Maintenance, and Third-Party Services
9.1 Service availability
FlyWP will use commercially reasonable efforts to operate the FlyWP Services in accordance with these Terms and any applicable SLA.
The Services may depend on third-party cloud providers, networks, DNS, CDN, backup, security, payment, communications, software, APIs, and other external services. Those providers may impose their own terms, limits, restrictions, pricing changes, and suspension rights.
FlyWP does not guarantee uninterrupted or error-free operation or the continued availability of every third-party provider, integration, or feature.
9.2 Managed hosting and BYOS
For Managed Server services, FlyWP may provision or manage infrastructure through cloud providers supported by FlyWP from time to time. Supported providers and available deployment options may change.
For BYOS, the Reseller is responsible for its own cloud-provider account, infrastructure charges, provider terms, and the compatibility and configuration of its server. BYOS functionality depends on the relevant provider, server configuration, APIs, and technical requirements supported by FlyWP.
9.3 Third-party dependencies and service changes
FlyWP may rely on third-party infrastructure, software, APIs, networks, and services that are outside its direct control. These third-party services may change, restrict, suspend, or discontinue their services, APIs, integrations, pricing, terms, or technical requirements.
FlyWP may add, change, replace, limit, or discontinue supported providers, integrations, deployment options, infrastructure arrangements, or related features as reasonably necessary to maintain, improve, or operate the Services, or to respond to security, technical, commercial, legal, or third-party requirements.
Where reasonably practicable, FlyWP will provide notice of material changes that significantly affect the Reseller’s use of the Services.
FlyWP will use commercially reasonable efforts to investigate material incidents, communicate relevant information, coordinate with providers where appropriate, mitigate impact, and restore affected FlyWP-controlled services.
FlyWP will not be responsible for interruptions, losses, or failures to the extent directly caused by third-party services or circumstances outside FlyWP’s reasonable control. This does not exclude responsibility for FlyWP’s own breach of its express obligations or for matters that cannot lawfully be excluded.
Applicable SLA terms, if any, govern the service-level commitments and maintenance exclusions expressly covered by that SLA.
9.4 Maintenance and early-access features
FlyWP may perform maintenance and modify, improve, replace, or discontinue service components, features, integrations, infrastructure, or providers. FlyWP will use commercially reasonable efforts to avoid materially disrupting paid services.
Immediate changes may be made where reasonably necessary for security, legal compliance, abuse prevention, provider changes, maintenance, or critical technical issues.
Beta, preview, experimental, or early-access features may contain defects, change, have limited support, or be discontinued. Unless expressly agreed otherwise in writing, these features are provided for evaluation and testing and do not carry production-level service commitments.
10. Suspension, Termination, and Transition
10.1 Suspension and protective action
FlyWP may suspend, restrict, isolate, throttle, or limit affected services where reasonably necessary because of:
- Non-payment.
- Security threats, compromised credentials, or compromised infrastructure.
- Abuse, unlawful activity, or fraud.
- Breach of these Terms or the AUP.
- Third-party provider requirements.
- Legal obligations or valid legal process.
- Material misrepresentation.
- A material risk to FlyWP, other customers, or third parties.
If FlyWP reasonably believes immediate action is necessary, it may act without prior notice and provide notice as soon as reasonably practicable afterward.
Where reasonably practicable, FlyWP will limit action to the affected account, site, server, customer, or service.
10.2 Termination
These Terms remain in effect until terminated.
FlyWP may terminate your participation for material breach, non-payment, fraud, abuse, unlawful activity, material misrepresentation, repeated violations, security risk, or another ground permitted by the applicable agreement.
Where reasonably practicable, FlyWP will provide notice and an opportunity to remedy a curable breach. Immediate action may be taken where a remedy is not reasonably possible or urgent action is needed.
You may terminate your participation through the applicable cancellation process.
Termination does not remove payment obligations that accrued before termination.
10.3 Effects of termination and data export
When your participation ends, your right to use the Program and White Label functionality ends, and you must stop presenting yourself as an authorized FlyWP White Label Reseller.
Outstanding fees remain payable. You remain responsible for communicating with End Customers and handling their support, cancellations, refunds, migration, and other outstanding obligations.
Subject to the applicable service and technical capabilities, FlyWP will make available its standard data-export or migration mechanisms. You are responsible for initiating and completing exports or migrations before the applicable deadline. Custom migration or transition assistance may require additional fees and availability.
After termination and any applicable retention period, FlyWP may delete or anonymize data in accordance with the DPA, applicable service terms, backup-retention practices, legal obligations, and reasonable security requirements. Backup copies may remain for a limited period and may not be available for operational use after termination.
To the maximum extent permitted by law, FlyWP will not be liable for losses resulting from a suspension or restriction properly made under these Terms.
11. Disclaimers and Indemnification
11.1 Disclaimers
Except for express commitments in these Terms, an applicable Order Form, DPA, or SLA, the FlyWP Services are provided subject to their applicable descriptions and limitations.
To the maximum extent permitted by law, FlyWP does not guarantee uninterrupted or error-free service, prevention of every security threat, restoration of every backup, recovery from every data-loss event, continuous availability of third-party services, suitability for every business purpose, or any particular revenue or profit.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11.2 Reseller indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless FlyWP, its affiliates, and their officers, directors, employees, and agents against third-party claims, losses, liabilities, reasonable costs, and expenses arising from or relating to:
- Your Reseller Services or customer relationships.
- Your Packages, pricing, billing practices, or customer-facing promises.
- Your marketing claims or representations.
- End Customer content or activity, to the extent of your responsibility or control.
- Infringement by materials supplied by you or your End Customers.
- Your violation of applicable law or the AUP.
- Your misuse of the FlyWP Services.
- Your breach of these Terms or your customer-facing terms.
This obligation does not apply to the extent a claim is caused by FlyWP’s own material breach or conduct for which liability cannot lawfully be transferred to you.
11.3 Indemnification process
FlyWP will give you notice of an indemnified claim where reasonably practicable and provide reasonable cooperation.
You may control the defense and settlement of the claim, but you may not settle a claim in a way that admits fault by FlyWP, imposes obligations on FlyWP, restricts FlyWP’s rights, requires payment by FlyWP, or grants relief against FlyWP without FlyWP’s prior written consent.
FlyWP may participate in the defense with its own counsel at its own expense.
12. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, anticipated savings, customers, goodwill, opportunity, or business interruption arising out of or relating to these Terms, even if advised of the possibility of such losses.
To the maximum extent permitted by law, FlyWP will not be liable for losses arising solely from your customer commitments, pricing or billing decisions, refunds, unauthorized representations, End Customer content or activity, third-party services or infrastructure outside FlyWP’s reasonable control, or your failure to maintain backups or exports where the applicable service requires you to do so. This paragraph does not exclude liability for FlyWP’s own breach of its express obligations.
To the maximum extent permitted by applicable law, each party’s total aggregate liability arising out of or relating to these Terms or the FlyWP Services will not exceed the total fees paid or payable by the Reseller to FlyWP for the applicable FlyWP Services during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.
13. General Legal Terms
13.1 Changes to the Services or Terms
FlyWP may update the Services and these Terms. For material changes affecting existing Resellers, FlyWP will provide reasonable notice through email, the dashboard, or another appropriate channel where required by law.
Changes take effect on the date stated in the notice. Continued use after that date constitutes acceptance where legally permitted. If you do not agree to a material change, you may discontinue participation in the Program in accordance with the applicable cancellation process.
13.2 Legal requests
FlyWP may comply with applicable law, valid legal process, and lawful requests from authorities; preserve or disclose information where legally required; and take measures necessary to meet legal obligations.
Where legally permitted and reasonably practicable, FlyWP may notify you of relevant requests concerning your data.
13.3 Assignment and service providers
You may not assign or transfer these Terms without FlyWP’s prior written consent, except as permitted by applicable law in a bona fide corporate transaction approved by FlyWP.
FlyWP may assign these Terms to an affiliate or successor, or in connection with a merger, reorganization, or transfer of substantially all relevant assets.
FlyWP may use affiliates, contractors, service providers, and subprocessors to provide the Services. The DPA governs applicable subprocessors processing personal data on your behalf.
13.4 Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, government actions, widespread cyberattacks, telecommunications or power failures, labor disruptions, pandemics, or third-party infrastructure failures.
The affected party will use commercially reasonable efforts to mitigate the effects. This does not excuse payment for services already provided unless applicable law requires otherwise.
13.5 Notices
Legal notices must be sent to the contact details designated by each party. Operational notices may be provided by email, dashboard, support systems, account notifications, or other reasonable electronic means.
You must keep your contact information current.
13.6 Entire agreement and order of precedence
These Terms and documents expressly incorporated into them form the entire agreement concerning the Program and replace prior discussions on the same subject.
In case of conflict, the following order applies, subject to mandatory law:
- A DPA, solely for the data-protection matters it covers.
- An executed Order Form or written commercial agreement, for the specific commercial terms it expressly addresses.
- These Terms.
- An applicable SLA, AUP, or product documentation, to the extent relevant and unless the applicable document expressly states otherwise.
13.7 Severability and waiver
If a provision is unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain effective.
A failure or delay in enforcing a provision is not a waiver of that provision or any other right.
13.8 Electronic acceptance, third parties, and survival
Electronic acceptance is binding where legally permitted.
Except as expressly stated, these Terms do not create rights for third parties.
Provisions concerning payment obligations, confidentiality, intellectual property, indemnification, disclaimers, limitation of liability, data protection, data retention or deletion, dispute resolution, and accrued rights survive termination to the extent applicable.
14. Governing Law, Disputes, and Contact
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, subject to mandatory laws that cannot lawfully be excluded.
The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms, and each party consents to that jurisdiction, subject to applicable law.
Either party may seek appropriate injunctive or equitable relief where necessary to protect intellectual property, confidential information, security, systems, customer data, or other rights for which monetary damages may be inadequate.
